Vendor Terms (v1.0)

1. Acceptance

By submitting an application on Weddmatch (weddmatch.com), you ("the Vendor") agree to these Vendor Terms. Acceptance is recorded with a timestamp and an IP address.

2. What Weddmatch provides

If your application is approved, Weddmatch lists your business in its catalogue and may recommend you to couples whose personality, style, region and budget match what you offer. Weddmatch is a discovery platform, not an exclusive agent: you keep your independence.

3. Commission: 2% on bookings — anti-circumvention

You agree to pay Weddmatch a commission equal to 2% of the gross contract value (including service fees, excluding VAT) on any wedding-related booking you contract with a couple who was introduced to you through Weddmatch.

An "introduction" means any of:

• The couple's wedding plan, generated and paid for on Weddmatch, contained your business in the recommended-vendor list.
• The couple viewed or downloaded your contact details through Weddmatch.
• The couple was sent your contact information via a Weddmatch communication channel.

The commission obligation applies for 24 months from the date of the introduction, regardless of where the contract was ultimately signed, who initiated the contact afterwards, or whether the couple used a different email/phone to reach you. The intent of this clause is to prevent disintermediation; it is enforceable to the maximum extent permitted by EU and Spanish law.

You agree, on signature/closure of any such contract, to notify Weddmatch within 14 days and to pay the 2% commission within 30 days of receiving the first installment from the couple.

4. Records, audit, dispute

Weddmatch keeps an audit trail of introductions (the "Introduction Log"): per couple, per vendor, channel, timestamp, IP, user agent. In case of dispute over whether a couple was introduced via Weddmatch, the Introduction Log is presumed accurate unless the Vendor produces clear evidence to the contrary. The Vendor agrees to provide, on reasonable written request, copies of contracts (with personal data redacted) for couples flagged as introductions in the Log, within 30 days.

5. Listing accuracy

You confirm that the information submitted (business name, services, prices, photos, contact details, website) is true, complete, and that you own or have licensed all uploaded photographs and intellectual property displayed. You will keep your listing reasonably up to date.

6. Service quality

You commit to providing the services you list at the price band you list, to honour communications with introduced couples within 7 business days, and to maintain a professional standard. Weddmatch may pause or remove your listing if it receives substantiated complaints; you will be notified before removal and may respond.

7. Data protection

Couple personal data shared with you through Weddmatch (names, contact, wedding details) is provided under GDPR's contract-performance basis. You agree to process it solely to deliver wedding-planning services to the introduced couple, to keep it confidential, not to use it for unrelated marketing, and to delete it when no longer needed.

8. Termination

Either party may end the listing relationship at any time with 30 days notice in writing. Commission obligations on couples introduced before termination survive for the full 24-month window in clause 3.

9. Liability, indemnity

Weddmatch is not a party to the wedding contract between you and the couple. Weddmatch is not liable for the couple's performance (e.g. cancellation, non-payment). You indemnify Weddmatch against any third-party claim arising from your services or the accuracy of your listing.

10. Governing law & disputes

These Terms are governed by the laws of the European Union and Spain. Disputes shall be resolved first in good faith; failing that, in the courts of the Vendor's place of business in the EU. Nothing limits mandatory consumer/freelance protections of your country of business.
